These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Brain Budget, licensed to [Darch Development Inova Simples I.S.], a company incorporated under the laws of Brazil (“Brain Budget”, “we”, “our” or “us”), governing your access to and use of our financial management platform and all related services provided through our website (the “Platform” or “Service”).

By accessing, registering, or otherwise using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility and Jurisdiction

You represent and warrant that you are at least 18 years of age, possess the legal capacity to enter into a binding agreement, and are not prohibited from using the Service under the laws of your jurisdiction. These Terms shall be interpreted in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles.

2. Description of the Service

Brain Budget is a digital platform designed to assist users in the management of personal finances, including but not limited to:

  • Registration of bank accounts and credit cards;
  • Tracking and categorization of financial transactions;
  • Access to analytical reports, charts, and budgeting tools.

No sensitive financial data (such as full credit card numbers, CVV codes, or PINs) is collected or stored. Only non-sensitive identification data (e.g., issuing bank name, account type, and masked card identifiers such as the last four digits) is optionally stored for organizational purposes.

3. Account Registration and Security

To access the full functionality of the Platform, you must create an individual user account by providing accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your credentials and for all activity conducted under your account. You agree to notify Brain Budget immediately of any unauthorized access or use of your account.

4. Premium Subscription and Payment Terms

Brain Budget offers a Premium Plan that provides enhanced features and unrestricted access to the Service. By subscribing:

  • You authorize recurring charges to your selected payment method via our secure third-party payment processor;
  • Subscription fees, billing cycles, and renewal policies will be disclosed prior to purchase;
  • You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle;
  • We reserve the right to modify the subscription fees and features upon reasonable prior notice.

No refunds shall be issued for partial use, inactivity, or early termination.

5. Data Privacy and Confidentiality

Brain Budget values your privacy. All personal and financial data collected through the Platform is treated as strictly confidential and processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and the Brazilian General Data Protection Law (LGPD). We do not sell, share, or disclose user data to third parties, except:

  • As required by applicable law or legal process;
  • To protect our legal rights;
  • With explicit user consent.

6. User Obligations and Restrictions

You agree to:

  • Use the Platform solely for lawful and personal financial management purposes;
  • Refrain from uploading, transmitting, or storing data that is false, misleading, unlawful, or violates third-party rights;
  • Not use the Platform for fraudulent activity or money laundering.

Brain Budget reserves the right to suspend or terminate any account that violates these Terms.

7. Intellectual Property Rights

All intellectual property rights in the Platform, including but not limited to software, design, trademarks, text, graphics, and databases, are the sole and exclusive property of Brain Budget or its licensors. No license or right is granted to the User except as expressly set forth in these Terms. You may not reproduce, copy, distribute, reverse engineer, or otherwise exploit any part of the Service without prior written authorization.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BRAIN BUDGET DOES NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY INFORMATION PROVIDED IS ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAIN BUDGET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR INTERRUPTION OF SERVICE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

10. Amendments

Brain Budget reserves the right to modify or update these Terms at any time. Continued use of the Service following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review the Terms periodically.

11. Termination

Brain Budget may, in its sole discretion, suspend or terminate your access to the Service, with or without notice, in the event of any actual or suspected violation of these Terms.
